Ciprian Frandeș is a corporate and transactional lawyer based in Bucharest, with over a decade of experience advising entrepreneurs, mid-market companies, and multinational corporations across some of the most demanding legal and commercial environments in Central and Eastern Europe.
His transactional practice spans mergers and acquisitions, venture capital, capital markets, and complex deal structuring. He has advised clients across a wide range of industries including technology, insurance, manufacturing, real estate, financial services, energy, agribusiness, and healthcare, and has worked in cross-border settings involving counterparties and counsel from the United States, United Kingdom, the Netherlands, Denmark, France, Germany, Italy, and Poland.
Since 2019, Ciprian has developed a specialist practice in insurance regulatory law. He advises international insurers and insurance intermediaries on market entry into Romania under the Freedom of Services and Freedom of Establishment regimes, covering distribution model structuring, regulatory compliance, AML/KYC obligations, product documentation, and claims management, for both life and non-life insurance.
Ciprian's transactional work also extends to venture capital funds, crowdfunding platforms, and start-ups.
In parallel with his advisory practice, Ciprian is a licensed insolvency practitioner, registered with the National Union of Insolvency Practitioners of Romania (UNPIR), Bucharest branch, RFO no. 5369. Through this professional capacity he handles restructuring and insolvency mandates under Law no. 85/2014.
Before founding his own practice, Ciprian built his expertise at leading international and regional law firms in Bucharest, where he was involved in high-value M&A transactions, due diligence processes, and complex cross-border deal structuring.
Ciprian holds a Bachelor of Laws from Babeș-Bolyai University, Cluj-Napoca (2010), and a Master of Laws in Special Judicial Procedures from Dimitrie Cantemir University, Târgu-Mureș (2011). He has been a member of the Bucharest Bar Association since 2013 and advises in Romanian and English. Litigation and court representation work is handled in coordination with trusted litigation counsel selected per matter.
