Ciprian Frandeș is a corporate and transactional lawyer based in Bucharest. Since 2013 he has advised entrepreneurs, mid-market companies and multinational corporations across some of the most demanding legal and commercial environments in Central and Eastern Europe.

His transactional practice covers mergers and acquisitions, venture capital and complex deal structuring, including transactions involving BVB-listed companies, such as share transfers, flip structures and contributions in kind. He has advised clients in technology, insurance, manufacturing, real estate, financial services, energy, agribusiness, and healthcare, and has worked on cross-border matters with counterparties and counsel from the United States, United Kingdom, the Netherlands, Denmark, France, Germany, Italy, and Poland.

Since 2019, Ciprian has also practised insurance regulatory law. He advises international insurers and insurance intermediaries on entering the Romanian market under the Freedom of Services and Freedom of Establishment regimes, including distribution model structuring, regulatory compliance, AML/KYC obligations, product documentation, and claims management.

He also acts for venture capital funds, crowdfunding platforms and start-ups.

Ciprian is also a licensed insolvency practitioner, registered with the National Union of Insolvency Practitioners of Romania (UNPIR), Bucharest branch, RFO no. 5369. In this capacity he handles restructuring and insolvency mandates under Law no. 85/2014.

Before founding his own practice, Ciprian worked at leading international and regional law firms in Bucharest on high-value M&A transactions, due diligence reviews and complex cross-border deal structuring.

Ciprian holds a Bachelor of Laws from Babeș-Bolyai University, Cluj-Napoca (2010), and a Master of Laws in Special Judicial Procedures from Dimitrie Cantemir University, Târgu-Mureș (2011). He has been a member of the Bucharest Bar Association since 2013 and advises in Romanian and English. Litigation and court representation are handled together with litigation counsel selected for each matter.

Andra Stelian is a lawyer in Bucharest and a member of the Bucharest Bar, and has worked in legal practice since 2017. She graduated from the Faculty of Law at the University of Bucharest in 2015. Her practice covers intellectual property, technology and data protection, including digital law and artificial intelligence, as well as corporate law.

Before joining the Bar in 2025, Andra worked as in-house legal counsel from 2017 to 2025. At a music label (2017–2018), she handled artist, licensing, distribution and publishing agreements, copyright and neighbouring rights, rights clearance for releases, and the company's copyright and trademark portfolio. As legal counsel to a Bucharest-based company (2018–2025), she advised management on regulatory compliance, internal regulations and policies, contracts and employment matters.

In intellectual property, she advises on trademark strategy, clearance, registration and portfolio management, copyright and neighbouring rights, licensing and brand protection, and represents clients in trademark and copyright proceedings before national and international offices.

In technology and data protection, she advises companies on the legal framework of their digital products and operations, such as digital services and online distribution, compliance with the EU Artificial Intelligence Act (AI Act), and data protection under the GDPR, including privacy documentation, data processing agreements and internal policies.

In corporate and commercial matters, she handles company incorporations and Trade Registry filings, drafts and negotiates commercial, licensing and distribution agreements, and helps clients keep their operations compliant.

Andra has advised individuals and small and medium-sized enterprises in music and media, construction and healthcare. She combines a strong legal background with a pragmatic, business-oriented approach and gives clear advice suited to each client's legal needs and commercial objectives.
