Corporate & M&A
Corporate and transactional work is the core of our practice. We advise clients on the full spectrum of corporate matters, from company formation and governance through complex multi-party acquisitions, across a wide range of industries including technology, manufacturing, real estate, financial services, energy, agribusiness, and healthcare.
Our transactional work spans share deals, asset deals, joint ventures, venture capital investments, and cross-border acquisitions involving counterparties and co-counsel from multiple jurisdictions. We have worked on matters involving parties from the United States, United Kingdom, the Netherlands, Denmark, France, Germany, Italy, and Poland. We handle the full deal cycle: structuring, due diligence, negotiation, documentation, regulatory filings, and closing.
We also advise venture capital funds, crowdfunding platforms, and start-ups on equity investments, shareholder arrangements, and governance structures. Our work is defined by a pragmatic, business-oriented approach: legal advice calibrated to the client's commercial objective, not to the technical requirements of the documentation alone.
Capital Markets
Our capital markets practice focuses on the ongoing corporate operations and compliance of BVB-listed issuers: annual and extraordinary shareholder meetings (AGOA and AGEA), share capital increases and reductions, dividend distributions, periodic and current reporting to ASF and BVB, inside information management, and the corporate governance obligations applicable to listed companies under Law 24/2017 and ASF Regulation 5/2018.
We also advise private companies on share capital increases and reductions, convertible instrument structures, shareholder arrangements, and the corporate operations that accompany venture-stage and growth-stage financing rounds. The work is calibrated to the commercial objective of the round, not to the technical requirements of the documentation alone.
Insolvency & Restructuring
Ciprian Frandeș is a licensed insolvency practitioner, combining legal and practitioner expertise in a single engagement. This integration allows us to advise on both the legal framework and the practical administration of insolvency proceedings under Law 85/2014.
We act for debtors considering or undergoing restructuring, for creditors navigating insolvency proceedings to protect and recover their claims, and for investors acquiring distressed companies or assets. Our approach integrates legal strategy with commercial realism: the objective is value preservation and the best achievable outcome, not procedural compliance for its own sake.
Our insolvency practice covers pre-insolvency planning and out-of-court restructuring, judicial reorganization proceedings, creditor committee representation, distressed M&A, and post-insolvency asset acquisitions. We also advise on cross-border insolvency situations involving Romanian debtors with assets or creditors in multiple jurisdictions.
Insurance
Since 2019, our insurance regulatory practice has focused on advising international insurers and insurance intermediaries on market entry into Romania and ongoing regulatory compliance. We have developed particular depth in the Freedom of Services (FoS) and Freedom of Establishment (FoE) regimes applicable to EU-based insurers operating in the Romanian market.
We advise on the full spectrum of insurance regulatory matters: distribution model structuring, regulatory compliance programs, AML and KYC obligations, product documentation, and claims management, for both life and non-life insurance. We have acted for global insurers, major European insurance groups, and UK-based insurance companies on their Romanian regulatory requirements and cross-border service arrangements.
Our transactional work in the insurance sector includes advising on share deals and business transfers involving insurance brokers and intermediaries, regulatory approval processes, and post-transaction compliance integration. We also provide day-to-day regulatory advice to Romanian insurance brokers on licensing, distribution obligations, and compliance management.
Commercial & Contracts
Commercial and contractual work runs across every sector we serve. We draft and negotiate commercial agreements, including distribution agreements, supply and procurement contracts, service agreements, licensing arrangements, and joint venture frameworks, for clients operating in competitive, regulated, and cross-border environments.
Our commercial practice is grounded in a transactional mindset: commercial agreements should protect the client's position while remaining workable, enforceable, and proportionate to the commercial relationship they govern. We pay particular attention to risk allocation, dispute resolution clauses, and termination mechanisms, the provisions that matter most when a relationship encounters difficulty.
We also advise on regulatory compliance matters arising from commercial operations: competition law aspects of distribution arrangements, consumer protection obligations, sector-specific licensing requirements, and the commercial implications of regulatory changes in Romania and at EU level. For matters requiring specialist regulatory input (employment, GDPR, environmental), we work with trusted advisors from our collaborator network.
