Corporate and transactional work is the core of our practice. We advise on matters ranging from company formation and governance to complex multi-party acquisitions, for clients in technology, manufacturing, real estate, financial services, energy, agribusiness and healthcare.

We act on share deals, asset deals, joint ventures, venture capital investments and cross-border acquisitions, and have worked with counterparties and co-counsel from the United States, the United Kingdom, the Netherlands, Denmark, France, Germany, Italy and Poland. We handle every stage of a deal, from structuring, due diligence and negotiation to documentation, regulatory filings and closing.

We also advise venture capital funds, crowdfunding platforms and start-ups on equity investments, shareholder arrangements and governance. We take a pragmatic, business-oriented approach, so our advice starts from what the client wants to achieve commercially.

Alongside our corporate work, we draft and negotiate commercial contracts, including distribution, supply and procurement, services, licensing and joint venture agreements. We pay particular attention to risk allocation, dispute resolution and termination, because these are the clauses that matter most when a business relationship runs into difficulty. On the regulatory side, we advise on competition law in distribution arrangements, consumer protection obligations and sector-specific licensing.

For BVB-listed companies, we handle general meetings (AGOA and AGEA), share capital changes, dividend distributions and reporting to the ASF and BVB.
