This website is operated by CIPRIAN-PAUL FRANDEȘ - CABINET DE AVOCAT (registered with Baroul București under Law no. 51/1995) and, for insolvency and restructuring matters, by FRANDEȘ CIPRIAN-PAUL CABINET INDIVIDUAL DE INSOLVENȚĂ (registered with UNPIR Filiala București, RFO no. 5369, under OUG no. 86/2006 and Law no. 254/2007). Both entities are personally led by Avocat Ciprian Frandeș and operate under the unified brand Frandeș Law. By accessing or using this website, you accept these Terms of Use in full. 3. Tools: Working Aids, Not Legal Advice

This website offers interactive tools including, without limitation: a CAEN Rev.3 migration mapper, a Civil Code term calculator (Art. 2551–2556), a cap table modelling tool, an insolvency timeline generator, and a BVB capital markets AGM calendar. These tools are working aids built on Romanian statutory rules and publicly available data. They are designed to assist in routine calculations and planning; they are not legal advice.

Tool outputs are generated automatically and may not reflect recent legislative changes, court interpretations, or the specific facts of your matter. For any decision with material legal or financial consequences, you must consult a qualified lawyer. Frandeș Law and its individual members accept no responsibility for decisions taken or not taken on the basis of tool outputs.

The tools are written by the firm's lawyer, not by a professional software development team. As a result, edge cases and bugs are possible despite our best efforts. If you encounter an erroneous output, please report it to ciprian@frandes.law — we will investigate and fix promptly.

4. No Warranties

This website and all content and tools on it are provided on an "as is" basis, without any warranty of any kind, express or implied. We make no warranty as to the accuracy, completeness, currentness, fitness for a particular purpose, or non-infringement of any content or tool output. We reserve the right to modify or remove any content or tool at any time and without notice.

5. Limitation of Liability

To the maximum extent permitted by Romanian law, Frandeș Law and its individual members shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from use of this website, its content, or its tools. This exclusion covers, without limitation: loss of profits, loss of data, business interruption, decisions taken or not taken in reliance on tool outputs, and reliance on content that has become outdated.

Nothing in these Terms excludes liability that cannot be excluded under mandatory provisions of Romanian law, including mandatory provisions of the Civil Code (Legea nr. 287/2009) on tort liability (Art. 1349–1395).
